Kennedy has been appointed Senior Executive Vice President and Chief Financial Officer, effective December 9, 2013. David J. Rosenberg, who has been serving as interim Chief Financial Officer since October 1, 2013, will assist Mr. Kennedy during a transition period, before taking on another senior role in the Company’s Finance area.

    Mr. Kennedy has been serving as Executive Vice President and Chief Financial Officer of Hilton Worldwide, Inc. since 2008. In this capacity, he has been instrumental in driving the transformation of Hilton including balance sheet restructuring and deleveraging initiatives, financial planning and forecasting process improvements, and companywide efficiency programs, all leading to significant shareholder value creation. From 2003 through 2007, Mr. Kennedy served as Executive Vice President and Chief Financial Officer for the Vanguard Car Rental Group (National Car Rental and Alamo Rent-A-Car brands). He was part of the senior leadership team which engineered the transformation and ultimate sale of Vanguard’s European business to Eurazeo and the sale of the North American business to Enterprise Rent-a-Car. At Hilton and Vanguard, Mr. Kennedy also helped lead headquarter relocation initiatives. From 1992 through 2003, Mr. Kennedy worked for Northwest Airlines, Inc. in numerous roles with increasing management responsibility, primarily in the company’s financial areas, including serving two years as the financial controller for Asia based in Tokyo, Japan. The project is expected to create an estimated 400 headquarter jobs to be filled locally, and approximately 300 positions to be filled by Hertz employees relocating to the Estero area upon its completion in 2015.

    As part of Hertz’s rebranding efforts, the new headquarters building will apply best practices in sustainable design and construction to achieve LEED Gold certification – from energy-efficient lighting and equipment, and recycled building materials and finishes, to the installation of solar panels and water-saving fixtures. The building design will help Hertz create a best-in-class work environment for its employees.

    For the project, Hertz has employed Turner Construction, a leader in sustainable construction that has been building in Florida for 105 years, as well as Gensler, the global leader in corporate headquarters design.

    In May 2013, Hertz announced that it would move its global headquarters to Estero, Florida following its November 2012 acquisition of the Dollar Thrifty Automotive Group. Construction will begin on a site at the intersection of U.S. 41 and Williams Road in Estero, Florida. As of November 2013, Hertz established a temporary headquarter operations in Naples, Florida, while the Estero building is under construction.

    Hertz Global Holdings Announces Closing Of $500 Million Fleet Lease Medium Term Asset Backed Notes

    PARK RIDGE, N.J., Nov. 25, 2013 /PRNewswire/ — Hertz Global Holdings, Inc. (NYSE: HTZ) (the "Company") announced today that Hertz Fleet Lease Funding LP ("HFLF"), a wholly owned special purpose subsidiary of Donlen Corporation ("Donlen"), a wholly-owned subsidiary of the Company, successfully issued $500 million in aggregate principal amount of Series 2013-3 Floating Rate Asset Backed Notes, Class A, Class B, Class C and Class D (the "HFLF Series 2013-3 Notes"). Donlen utilizes the HFLF securitization platform to finance its U.S. fleet leasing operations.

    The HFLF Series 2013-3 Notes are floating rate and carry an interest rate based upon a spread to one-month LIBOR. The $461.1 million of Class A notes carry a spread of 0.55%, the $13.4 million of Class B notes carry a spread of 1.05%, the $12.9 million of Class C notes carry a spread of 1.45%, and the $12.6 million of Class D notes carry a spread of 2.00%. The HFLF Series 2013-3 Notes contain provisions that allow them to revolve until December 2014. During the revolving period, the monthly lease collections allocable to the HFLF Series 2013-3 Notes are permitted to be used, subject to customary conditions, to fund the acquisition of vehicles and/or equipment to be leased to customers. Upon expiration of the revolving period, the repayment of principal of the HFLF Series 2013-3 Notes will commence, with monthly payments made from the HFLF Series 2013-3 Notes’ allocable share of lease payments and proceeds from the sale of vehicles and equipment leased thereunder until the HFLF Series 2013-3 Notes are paid in full. The assumed weighted average life to maturity of the Class A notes, the Class B notes, the Class C notes, and the Class D notes are expected to be 1.93 years, 2.82 years, 2.88 years, and 2.92 years, respectively. The Class B Notes are subordinated to the Class A Notes. The Class C Notes are subordinated to the Class A Notes and the Class B Notes. The Class D Notes are subordinated to the Class A Notes, the Class B Notes, and the Class C Notes.

    The notes were offered and sold only to qualified institutional buyers, who are also qualified purchasers, in an offering exempt from registration pursuant to Rule 144A of the Securities Act of 1933, as amended (the "Securities Act").

    The net proceeds from the sale of the notes were used (i) to repay a portion of the outstanding principal amount of HFLF’s Series 2013-1 Notes and (ii) to make loans to DNRS II LLC, a wholly owned special purpose subsidiary of Donlen. The offering closed on November 25, 2013.

    A highlight of Hertz’s global rebranding effort is the company commitment to minimizing its environmental footprint through efficiency improvements, resource management and renewable energy production. The new headquarters facilities will use best practices in sustainable design and construction targeted to achieve LEED Gold certification – from energy-efficient lighting and equipment, and recycled building materials and finishes, to the installation of solar panels and water-saving fixtures.

    Hertz worked with local community groups to ensure their feedback and participation in the design process. The headquarters will incorporate Mediterranean influence for plantings, pavers and security features, as well as other structures on the campus. The building height is 10 percent lower than allowed by zoning. A bus stop has been added per resident request, and resident impact has been minimized as a result of the main entrance location on Williams Road.

    The building design focuses on quality and collaborative workspaces, natural day lighting and leading edge office design consistent with industry best practices.

    In May, Hertz announced its decision to relocate its headquarters to Estero following its November 2012 acquisition of the Dollar Thrifty Automotive Group, headquartered in Tulsa, Oklahoma. Consolidating the corporate offices to one location will allow for increased efficiencies and cost synergies across the company and Estero proved to be the right location to blend Hertz and Dollar Thrifty head office employees.

    Hertz will bring approximately 700 jobs to the area, estimating that 400 headquarter jobs could be filled locally, with approximately 300 positions being filled by Hertz employees relocating to the area. The company selected a site at the intersection of U.S. 41 and Williams Road in Estero, Florida for the location of its new headquarters building. As of October 2013, Hertz established a temporary headquarter operations in Naples, Florida, while the Estero building is under construction.
